Welcome to the music creation and intelligent audio service platform provided by DxTune (hereinafter referred to as “this platform”). Before using this platform, please read and fully understand the terms of service (hereinafter referred to as “these terms”). By accessing, registering, logging in, or using the services of this platform, you are deemed to have read, understood, and agreed to be bound by these terms. If you do not agree with any part of these terms, please do not use the services of this platform.
1.1 Scope of application of the Terms
This clause applies to all products and services provided by DxTune, including but not limited to:
AI composition assistance system;
Audio processing and intelligent mixing tools;
Blockchain copyright confirmation system;
Content publishing and global distribution interface;
User account and content hosting management function.
1.2 Definition of service objects
“User” means an individual or entity that accesses, uses or registers for the Platform’s services. “Content” means music, audio or related digital works uploaded, generated or created by users through the Platform. “Service” means all online features, tools, algorithms and distribution channels provided by the Platform.
1.3 Modification of Terms
The Platform reserves the right to modify these Terms at any time in accordance with laws and regulations or business needs, and shall inform users through announcements or in-site notifications. The modified terms shall take effect from the date of announcement, and users who continue to use the Services shall be deemed to have accepted the modified contents.
Page 2 | User Qualification and Account Registration
In order to ensure the operation order and legal compliance of the platform, users shall comply with the following user qualification and registration regulations before using DxTune services:
2.1 User Qualification
Only individuals who have reached the age of 18 and have full civil capacity, or legal persons and institutions established in accordance with the law and legally existing, can register and use the services of the Platform. The Platform has the right to require users to submit identity authentication information or business license and other materials to complete the verification process when necessary.
The prohibited population includes but is not limited to:
Minors under the age of 18;
Users whose use of the relevant services is restricted or prohibited by the laws of the country/region where they are located;
Account holders whose accounts have been suspended or permanently banned by the platform.
2.2 Obligation of registration information
The user shall ensure that all information provided at the time of registration is true, accurate and complete, and shall be updated in a timely manner. If the Platform finds or reasonably suspects that the user provides false information, it has the right to suspend or terminate its account and related services.
2.3 Account security
Users shall properly keep their login accounts and passwords by themselves, and the losses caused by the disclosure of account information shall be borne by users themselves;
The user shall be responsible for all operations performed through its account;
If the account is found to have been stolen or used abnormally, the user should immediately notify the platform to take freezing or other security measures.
2.4 Multi-account behavior
In principle, each user can only hold one platform account. The Platform has the right to identify and restrict repeated registration, use multiple accounts to circumvent system rules or obtain improper benefits.

In order to maintain the order of the platform and protect the rights and interests of users, all users must abide by the following use norms and codes of conduct when using the services provided by DxTune:
3.1 Legal use
Users shall not use the Platform services for any acts that violate laws and regulations, regulatory requirements, industry standards or public interests, including but not limited to:
Infringing upon the intellectual property rights, privacy rights, reputation rights and other legitimate rights and interests of others;
Spreading illegal, violent, pornographic, discriminatory or other inappropriate content;
Using platform services to engage in unauthorized business activities, fraud, fraud or money laundering;
Intentionally disrupt the platform system, spread malicious programs, and attempt to interfere with or attack the platform server and services.
3.2 User uploaded content
DxTune provides music creation, editing, storage and distribution functions. Users are fully responsible for all content they upload, create or publish. Users confirm and promise that the content they upload does not contain the following information or materials:
Unauthorized use of music clips, sound effects, pictures or third party works;
Contains content that violates copyright or other laws;
Content that is irrelevant to the service scenario provided by the platform or intentionally disrupts the order of the platform.
The Platform has the right to delete, block or remove the content that violates the provisions, and may freeze the user’s account or terminate the service according to the seriousness of the circumstances.
3.3 User behavior standards
Users shall respect other platform users and partners, and shall not implement the following behaviors within the platform:
Malicious comments, insults, provoking conflict or personal attacks;
Abuse platform resources, occupy servers in large quantities, and affect the normal use of other users;
Use the platform for phishing, inducing clicks, false propaganda or illegal profit.
3.4 Access to third-party tools
If users use third-party plug-ins or tools to access the platform services, they must ensure the legality, security and compatibility of the plug-ins or tools. Otherwise, any losses caused thereby shall be borne by the users themselves.

DxTune respects and protects the intellectual property rights of the Platform itself and users. Any content generated, uploaded or disseminated on the Platform is protected by relevant laws and regulations. In order to protect the operation of the Platform and the rights and interests of users, the following intellectual property rights provisions are hereby formulated:
4.1 Platform content ownership
All content in the DxTune platform, including but not limited to interface design, trademark identification, platform name, operation logic, system structure, algorithm model, service documents, etc., are owned by DxTune and protected by copyright, trademark, patent and other intellectual property laws.
Without the written authorization of the Platform, no entity or individual shall copy, disseminate, adapt, translate, display or use for other commercial purposes without authorization.
4.2 Ownership of user-created content
The works generated by users when using DxTune to create music (including melodies, accompaniment, sound effects, etc.) are owned by users if they are created by users themselves or based on materials authorized by the platform. Users have the right to use them for personal display, commercial purposes or authorize third parties.
However, users should ensure that:
The materials, samples or sampling used do not infringe any third party rights;
If you use the authorized music library, model materials and other materials provided by the platform, you shall comply with the relevant authorization terms and scope of use of the platform.
4.3 Authorization and Scope of Use
Upon user’s agreement to these Terms of Service, the user grants DxTune a non-exclusive, sublicensable global license for the following purposes:
Display user-created content in platform publicity, case or recommended content;
Use the content for data training or product optimization, provided that the user identity or original content is not disclosed;
Within the scope permitted by law, copy, store, delete and other management operations of illegal content.
The platform will strictly limit the scope and frequency of the above use to ensure that users’ original rights and interests are not abused.
4.4 Infringement Handling Mechanism
If users find that their rights are infringed by others on the platform, they can submit proof of rights and file a complaint through the reporting mechanism of the platform. DxTune will deal with the infringing content in a timely manner according to law after receiving legal notice, and take restrictive measures against the accounts involved as appropriate.

In order to ensure the operation safety and service experience of users on the platform, DxTune has a complete account registration, verification and management mechanism, and ensures the security of platform data and assets through multiple technical means. The specific terms are as follows:
5.1 Account Registration
Users are required to register their DxTune account through legal and effective means, including but not limited to email, mobile phone number or social platform account binding. The registration information shall be true, accurate and complete, and users shall bear legal responsibility for the authenticity of the information provided.
If the Platform finds that the account contains false information, repeated registration, malicious behavior and other circumstances, it has the right to suspend or terminate the use of the account.
5.2 Real-name authentication (if applicable)
When activated in accordance with compliance requirements or advanced features (such as commercial use of works, copyright registration, etc.), DxTune may require users to complete real-name authentication or submit additional information. The platform will keep user data strictly confidential and only used for internal verification and compliance management.
5.3 Responsibility for account security
Users should properly keep their accounts, passwords and related identity information, and assume full responsibility for all operations conducted through their accounts. If the account is used without authorization or security anomalies occur, users should immediately notify DxTune platform.
The platform will assist users to carry out emergency measures such as temporary freezing and password reset, but will not bear the losses caused by users’ own negligence.
5.4 Multiple protection mechanisms
The DxTune platform adopts multi-level security measures, including but not limited to:
SSL data transmission encryption;
System abnormal behavior monitoring and alarm;
Login behavior risk control identification;
User permission classification and operation log tracking.
The platform also encourages users to take proactive security measures such as enabling two-step authentication and changing passwords regularly.
5.5 Account freezing and cancellation
In the following circumstances, DxTune has the right to freeze or cancel the user account and decide whether to reserve the right of prosecution depending on the seriousness of the case:
Suspected of publishing illegal content or infringing on the rights of others;
Using platform tools to conduct malicious attacks, data scraping, ranking or other acts that damage the interests of the Platform;
Long-term inactivity or active application to cancel the account.
After the account is cancelled, the data created by users will be processed in accordance with the privacy policy, and some data may be retained for backup due to compliance or copyright requirements.

In order to maintain the order of the platform and protect the legitimate rights and interests of all users, DxTune makes the following norms and restrictions on the behaviors of users on the platform:
6.1 Legal use of the Platform
Users must comply with all applicable laws and regulations when using the DxTune service, and shall not use the Platform to engage in the following activities, including but not limited to:
Uploading, generating or disseminating any illegal, harmful, fraudulent, infringing or obscene content;
Unauthorized use of other people’s data, trademarks, music, sound or other intellectual property content;
Obtaining or abusing other people’s accounts or data in a false or misleading manner;
Conduct any form of attack, such as virus, Trojan, DDOS attacks, etc.
6.2 Content creation and ownership
The user’s music works created on the platform (such as melody, accompaniment, track, etc.) are owned by the user without any other contract or authorization agreement.
However, if users use the platform’s AI tools to automatically generate content, call up material libraries or participate in joint creation, the works generated may involve shared creation rights, and users should agree to accept the works use agreement and copyright notice provided by the platform.
6.3 Platform resource usage specifications
Users shall not, without permission, copy, modify, resell, rent, embed, grab or reconstruct any platform functions, code, interface, algorithm model and database content provided by DxTune.
If the user violates this clause, the Platform has the right to immediately suspend its use rights and investigate the infringement liability according to law.
6.4 Prohibit commercial abuse and volume brushing
Users are prohibited from performing false operations on the data of works (play volume, download number, likes, etc.) by any means; users are prohibited from simulating user behaviors to generate, brush the list or create false influence in batches.
DxTune has the right to monitor, audit and remove abnormal data behaviors, and reserves the right to punish users who perform malicious operations, including warning, freezing accounts and terminating contracts.
6.5 Release review mechanism of works
The Platform has the right to conduct automatic and manual content review before or after the release of the work to determine whether there is any illegal, infringing or unsuitable content for public display. If the work is marked as risky content, the Platform will notify users to rectify or directly remove it.
Page 7 | Paid Services and Subscription Terms
In order to enhance the creative experience and functional support, DxTune offers various forms of paid services and subscription plans. Users who purchase voluntarily are deemed to have fully understood and agreed to the following terms:
7.1 Service type
DxTune offers the following major paid services:
Professional subscription: unlock advanced AI creation module, audio processing function, watermark free output, advanced copyright management, etc.
On-demand purchase of services: such as master processing, copyright on-chain acceleration, cross-platform one-click distribution and other functions are billed on a single basis.
Enterprise-level licensing solutions: API access, customized toolkits, and data services for brands, studios, and educational institutions.
7.2 Fee and Settlement Method
Users can complete payments through the payment methods supported by the platform, including credit cards, PayPal, digital currencies or other local payment systems (subject to real-time page information).
The system will automatically renew the subscription until the end of the subscription cycle, unless the user cancels it before the expiration date. All fees will be billed and settled in the currency set by the user’s account.
7.3 Validity of Service
Subscription services are effective immediately after payment and automatically renew monthly, quarterly or annually unless the user cancels them in their account Settings.
The validity period and number of times for a single purchase shall be subject to the instructions on the page. Users must use it within the validity period, otherwise it will be automatically invalid and no refund will be given.
7.4 Refund Policy
Based on the immediacy of digital content and the availability of services, all completed payments are not refundable in the absence of a technical failure.
In the event of any of the following, the user may submit an application to the customer service and, upon approval, shall be dealt with as appropriate:
Payment failed but still deducted;
The platform function fails significantly and the paid function cannot be used for more than 48 hours;
Mispurchase of premium services (not using any paid features within 24 hours after the first payment).
7.5 Suspension and Termination of Equity
If the user violates the terms of service or makes abnormal payment, DxTune has the right to suspend all subscription rights. In serious cases, the service can be terminated directly without refund.

DxTune is committed to providing a secure and stable environment for all users to create and distribute content. In order to ensure the integrity of user data and copyright information, users must strictly comply with the following account management specifications:
8.1 Registration information requirements
When registering an account with DxTune, users must provide true, accurate and complete personal or institutional information, including but not limited to name, email address, contact information, location, etc. The Platform shall not be liable for any loss caused by the user’s false information.
8.2 Account access and permission control
Each account is limited to the user (or the user designated by the organization) and shall not rent, lend or share the login information.
The platform has a multi-device login record recognition mechanism. If abnormal login behavior (such as simultaneous login in multiple countries or frequent device switching in a short period of time) is detected, DxTune has the right to temporarily freeze the account and request identity verification.
Enterprise customers can assign different levels of creation, API call, and release permissions to their team members through the back-end management interface.
8.3 Password and authentication mechanism
Users should set a strong password for their account and enable two-factor authentication (2FA) is recommended.
DxTune will not ask for your password or verification code in any way. If you receive a similar request, please report it to the authorities immediately.
If the user forgets the password, it can be reset by binding the email or reserving the identity information. If the user fails to try for several times in a row, the system will automatically lock the account for 24 hours.
8.4 Illegal access and system interference
The following behaviors are strictly prohibited. DxTune reserves the right to immediately terminate the service and pursue legal liability once discovered:
Unauthorized access, attempt to penetrate, crack or interfere with the platform system;
Simulating other identities to register or use services;
Use scripts and large-scale automation tools to illegally invoke APIs or access other people’s data.
8.5 User responsibilities
Users should keep their login credentials and account keys (such as API key) in their own custody. If any unauthorized access is found, users should immediately notify DxTune. Users shall bear the losses caused by failure to report in time.

In order to maintain the order of the platform, protect the rights and interests of creators and user experience, DxTune implements a unified content management policy for all uploaded, created and published content, and sets clear norms for user behavior. Users use the platform to express their agreement and commitment to abide by the following code of conduct.
9.1 Scope of acceptable content
The platform encourages original, legal and public morality and industry standard compliant music content, including but not limited to:
Original melody, harmony and sound effects;
Legally authorized sampling content;
Music material related to teaching, branding, business and entertainment.
The following content is prohibited:
Content involving violence, discrimination, pornography, hate speech and illegal propaganda;
Works that infringe the copyright, trademark or other intellectual property rights of a third party;
Any audio file or metadata that contains malware, viruses, backdoor code.
9.2 User Content Liability
Users shall independently bear legal responsibility for all content created, uploaded or disseminated through the Platform;
If the content is complained of infringement or illegal by a third party, DxTune has the right to remove the content without prior notice;
DxTune does not pre-screen user content, but reserves the right to review, block, or delete suspicious or illegal content.
9.3 Content review and appeal mechanism
The system will regularly check the uploaded works through AI content recognition and manual review mechanism;
Users will be notified of the content deemed to be illegal and can submit their complaints within 7 days;
The platform will make a final decision within 5 working days after receiving the complaint.
9.4 Code of Conduct
Users should follow the following code of conduct when using the platform:
Do not harass, insult or attack other users;
Do not abuse interactive functions such as platform comments, labels and recommendations;
Do not maliciously brush volume, brush list or interfere with the recommendation mechanism;
Do not use illegal means to increase the exposure of your content or suppress competing content.
9.5 Platform punishment mechanism
First violation: reminder and content removal;
Multiple violations or serious circumstances: account freeze, permanent disablement or notification to the regulatory authorities;
DxTune has the right to unilaterally terminate the service of users who seriously disrupt the order of the platform without prior notice.

10.1 Services are provided “as is”
The DxTune platform and its services are provided on a “as is” and “as available” basis. We make no express or implied warranties with respect to:
The service is completely error-free, uninterrupted and always available;
All features are fully compatible with all devices or browsers;
The content or creative work obtained by the user meets its specific purpose or business result.
All risks arising from users’ use of the Platform services shall be borne by users themselves.
10.2 Technical interruption and system maintenance
DxTune reserves the right to update, repair or shut down the Platform system without prior notice. The Platform shall not be liable for any service interruption, content delay or data loss caused thereby, but will try its best to ensure the stability of the system within a controllable range.
10.3 Third party links and services
The Platform may contain links to third-party websites or services. These links are for convenience only and do not constitute endorsement or warranty of the third party. The Platform shall not be liable for any transactions, disputes or legal liabilities arising between users and third parties.
10.4 Applicable Law and Dispute Resolution
These Terms of Service are governed by the laws of London, UK, and if there is any other mandatory law, such law shall prevail. Any dispute arising from these Terms or the use of the Services shall be settled by the parties through friendly negotiation first; if no agreement can be reached through negotiation, either party may bring a lawsuit in a court with jurisdiction in New York State.
10.5, Clause modification
DxTune reserves the right to modify these Terms of Service at any time. Users will be notified of any changes through platform announcements or email. Users who continue to use the Platform after the terms are updated will be deemed to have agreed to be bound by the modified terms.
10.6 Final interpretation right
Unless otherwise expressly provided by law, DxTune reserves the right of final interpretation of all contents of these Terms of Service.
